Diverse and Extensive Experience

These cases are a small examples of the types of cases and matters we handled. This is not an exhaustive list and we have simple brief descriptions. We do not list the actual case names due to client confidentiality. We provide a generic case description for illustrative purposes as we take our duty to clients extremely serious. What greater confidential relationship exists in this country besides that of an attorney and his client? What greater sin is there than to breach that relationship? Although, many of our clients are well known and many of the cases we have been involved in have made the news, it is our approach not to list those here. Also, many times settlements of actual cases are confidential due to the requirements of a settlement agreement. As another example for using generic descriptions, Walt Disney could not have purchased so many orange groves in central Florida had his attorney’s not kept the confidentiality.

Real Estate Transactions Example Cases

We have been successful in litigation involving construction issues, development issues and land use issues. We represent Developers, Builders, Contractors and on occasion homeowners. We have been involved in numerous cases in the courts as well as mediation and arbitration of these cases. Our experience has given us unique knowledge of most construction and development practices as well as the industry experts in North Georgia. We have a working relationship with a number of these experts which are many times necessary to assist you in this type of litigation.

Lease Negotiations.

We represent national corporations that are engaged in the leasing of numerous warehouse facilities for its operations. These facilities range anywhere from 10,000 square feet to a million plus square feet. We are engaged in the complete negotiations of the lease and all matters involved in the transaction.

Business Sales.

Our client was the owner of a paper mill parts distribution business. We represented our client in the sale of his business to a national distribution company. Our representation involved negotiation of the entire contract, sales, along with an employment agreement for our client with a Golden Parachute to protect our client through retirement. This resulted in a multi-million dollar transaction for our client, along with an executive contract for our client.

Out-Lot Partial Purchases

Our client purchased numerous out-lots to operate sit-down restaurants. We handled the entire process from negotiation of the contract with the purchaser to negotiation and finalizing financing, as well the closing of the property.

Franchise Work.

We represent restaurant franchisers in preparing their franchise documents that are required in every state. We see franchising of these businesses through from start to finish.

We represented our client in a one hundred million dollar sale of a multiple location national franchised business including multiple real estate sites in the state of Georgia.

We represented clients in multiple sales of national franchised businesses which included multiple real estate sites in the states of Florida, South Carolina, Tennessee and Iowa with values exceeding twenty million dollars.

We represented clients in acquisition of national franchised businesses which included multiple real estate sites in the states of Florida, South Carolina and Iowa with values exceeding twenty million dollars. These transactions included purchase of the real estate and ongoing operations, financing, lease negotiations and franchise negotiations.

We represented a client in the development of sites for lease backs throughout the state of Georgia. These transactions in involve the acquisition of the site, construction contracts, financing, local zoning and regulatory work and lease back.

 

 

Lease Backs.

We represented a client in the development of sites for lease backs to a national retailer throughout the states of Georgia and Tennessee. These transactions in involve the acquisition of the site, construction contracts, local zoning and regulatory work and lease back to the national retail establishment.

We represented a client in the development of sites for lease backs to a major restaurant chain and various franchisees throughout the state of Georgia. These transactions in involve the acquisition of the site, construction contracts, financing, local zoning and regulatory work and lease back.

We represented a client in the development of sites for lease backs to a national retailer throughout the state of Florida. These transactions in involve the acquisition of the site, construction contracts, local zoning and regulatory work and lease back to the national retail establishment.

We have represented Chinese clients in real estate acquisitions involving lease back from National Companies with a positive triple net cash flow to the client. With the investment, the client was able to acquire an income producing property with full tenant responsibility while taking advantage of tax treaties for real estate investments.

Land Acquisition

We have represented a specialized construction company and Architects in connection with land acquisition, zoning, contracts, subcontracts and financing for Assisted Living locations in the state of Georgia.

We have represented land developers throughout the United States including New York and California in connection with purchase, financing, construction, sale and leasing of shopping centers, apartments, subdivisions, warehouses and single user locations in the states of Georgia, Florida, Alabama, Tennessee, North Carolina and South Carolina.

We represented the United States Department of Interior in obtaining and assembling the final portions for the Harris Neck National Wildlife Refuge. This is property located along the coast of Georgia and is designated as a wildlife refuge.
